Terms & Conditions

Welcome to Professional Plastering Designs, Inc. (“PPD,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website (ppdinc.net) and any services, content, or functionality offered therein (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
1.1 Agreement. These Terms constitute a legally binding agreement between you and PPD.
1.2 Eligibility. You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service.
1.3 Modifications. We may update these Terms at any time. Revised Terms will be effective upon posting, and your continued use of the Service constitutes your acceptance of the updated Terms.
2. Use of the Service
2.1 License. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes, subject to these Terms.
2.2 Restrictions. You agree not to:
Copy, modify, or distribute any portion of the Service except as expressly permitted.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use the Service in any way that violates applicable laws, infringes third-party rights, or interferes with the Service’s operation.
3. Account Registration
3.1 Account Creation. Some features may require you to register for an account. You agree to provide accurate, current, and complete information.
3.2 Security. You are responsible for safeguarding your password and account. Notify us immediately of any unauthorized use.
4. Intellectual Property
4.1 Ownership. All content, logos, designs, text, graphics, and software on the Service are owned by or licensed to PPD and protected by U.S. and international intellectual property laws.
4.2 Trademarks. “Professional Plastering Designs,” “PPD,” and our logos are trademarks of PPD. You may not use them without our prior written consent.
5. User Content
5.1 Definitions. “User Content” means any text, images, feedback, or other materials you submit through the Service.
5.2 License to PPD. By submitting User Content, you grant PPD a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and display such content in connection with the Service.
5.3 Responsibility. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate any laws or third-party rights.
6. Privacy
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your information. By using the Service, you agree to our Privacy Policy.
7. Communications by Email and SMS
7.1 Email Communications.
By providing your email address, you consent to receive transactional and promotional emails from us. You may unsubscribe at any time via the “Unsubscribe” link in any email.
7.2 SMS (Text Messaging) Communications.
7.2.1 Number Approval & Plan.
If your application for a dedicated SMS number in the United States (or equivalent in your jurisdiction) has been approved and you’ve selected a monthly credit plan, you may use our Text Messaging service to send promotional and marketing-related messages to Contacts who have opted in.
We may limit the number of messages or the times of day during which you can send messages.
7.2.2 Consent & Opt-Out.
You must obtain express opt-in consent from each Contact before sending any SMS message.
To stop receiving SMS messages, Contacts may reply STOP; after which they will receive one confirmation message and no further messages. For help, Contacts may reply HELP or contact us at [email protected].
7.2.3 Data Sharing & Privacy.
By using Text Messaging, you acknowledge and consent to your Contact details being passed to and stored by PPD and our SMS Provider(s).
We will share with our SMS Provider(s) the contents and metadata of each message solely for the purpose of delivering the service.
All personal information processed in connection with Text Messaging will be handled in accordance with our Privacy Policy.
7.2.4 Prohibited Conduct.
You agree not to:
Send SMS messages to anyone without the required consent or without providing the required opt-out mechanism and language.
Send unsolicited messages (spam) or use communications to confuse, deceive, defraud, mislead, or surprise recipients.
Transmit any content in violation of our Acceptable Use Policy.
Impose an unreasonable or disproportionately large load on PPD’s infrastructure.
Impersonate any person or entity, or falsely state or misrepresent an affiliation with any person or entity.
7.2.5 Compliance with Laws & Best Practices.
You will comply with all applicable laws, rules, regulations, carrier requirements, and industry best practices governing SMS messaging (including quiet hours, SHAFT restrictions, advertising restrictions, and direct marketing rules).
You will promptly honor all opt-out, unsubscribe, or similar requests from Contacts within the timeframe required by law.
7.2.6 Website Disclosure Requirements.
You shall maintain on your website the following information:
a. Your legal name.
b. Your business address.
c. Contact information, including email and telephone number.
d. VAT number (if your activities are subject to VAT).
e. Any additional information required by regulated professions.
Where required by law, you must clearly identify the person or entity on whose behalf an SMS was sent and disclose any promotional offers or competitions.
7.2.7 Language & Availability Limitations.
Text Messaging may only be available in certain languages and for certain purposes or customers. You agree to abide by any such limitations.
8. Third-Party Ad Networks & Cookies
8.1 Ad Networks. We work with reputable third-party ad networks to deliver advertisements. These networks may use cookies or similar technologies to serve ads based on your prior visits to our site or other websites.
8.2 Opt-Out Options. To opt out of personalized advertising, please visit the Digital Advertising Alliance’s opt-out page: http://www.aboutads.info/choices.
9. Compliance with U.S. Regulations
9.1 FTC Guidelines. We adhere to the Federal Trade Commission’s rules on advertising, endorsements, and testimonials. Any endorsements or testimonials appearing on our site accurately reflect the honest opinions or experiences of the individuals providing them.
9.2 No Misleading Claims. We do not permit ads or sponsored content that make false, deceptive, or unsubstantiated claims.
10. Disclaimers
10.1 “As Is.” The Service is provided “as is” and “as available.” PPD makes no warranties, express or implied, regarding the Service’s accuracy, reliability, or fitness for a particular purpose.
10.2 No Guarantee. We do not guarantee continuous or error-free operation of the Service, and we are not responsible for any interruptions.
11. Limitation of Liability
To the fullest extent permitted by law, PPD and its officers, directors, employees, and agents will not be liable for:
Any indirect, incidental, special, or consequential damages.
Loss of revenue, profits, data, or business opportunity.
Damages arising from your inability to use the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) $1,000 or (b) the total fees you paid to PPD in the six months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless PPD and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:
Your breach of these Terms.
Your use of the Service.
Your User Content or conduct.
13. Governing Law & Dispute Resolution
13.1 Governing Law. These Terms are governed by and construed under the laws of the State of Florida, without regard to conflict of laws principles.
13.2 Venue. You agree that any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Monroe County, Florida.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service will immediately cease.
15. General Provisions
15.1 Severability. If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.
15.2 Waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
15.3 Entire Agreement. These Terms, together with our Privacy Policy and any additional terms you agree to in connection with specific features, constitute the entire agreement between you and PPD.
